1. Welcome and Agreement

Welcome to Transform with Manuela. By accessing or using our website (the “Site”), you agree to comply with and be bound by the following terms and conditions (the “Terms”). These Terms form a legally binding contract between you and Transform with Manuela. Please read these Terms carefully before using our services.

2. User Eligibility

To use this Site or our services, you must be at least 18 years old and possess the legal capacity to enter into a binding agreement. You warrant that you are not prohibited from accessing or using this Site or our services under the laws and regulations applicable to you.

3. Our Services

We offer a range of coaching and educational services, which may include:

One-on-one coaching packages
AI and Mindset Courses
Interactive workshops

Unless explicitly stated otherwise, all services are provided virtually. It is important to understand that coaching is a supportive partnership for personal and professional growth and is not a substitute for psychotherapy, mental health counseling, medical advice, legal counsel, or financial consulting. You are solely responsible for your own interpretations, decisions, actions, and outcomes resulting from our services.

3. Our Services

We offer a range of coaching and educational services, which may include:

One-on-one coaching packages
AI and Mindset Courses
Interactive workshops

4. Payment Terms and Refund Policy

All fees for services must be paid in full prior to the commencement of any coaching session, course, or workshop. Prices for our services are clearly listed on the Site or will be communicated to you via email upon booking or inquiry.

By booking a service, you acknowledge and agree that you have:

Carefully read and fully understood the description of the service.
Agreed to the terms outlined in a separate Coaching Agreement, where applicable.
Committed to paying the full fee as specified before the service is rendered.

As our services are personalized and involve dedicated preparation and time, refunds are generally not provided once a service has begun. However, exceptions may be considered on a case-by-case basis for reasons such as our inability to deliver the agreed-upon services due to significant technical malfunctions or unavoidable personal circumstances. Any such exceptions will be at our sole discretion.

5. Client Commitments

As a client, you agree to:

Attend all scheduled sessions punctually.
Actively participate in sessions with presence, respect, and a commitment to the process.
Schedule all sessions within the timeframe agreed upon for your specific package or service.

Please note: Missed sessions may be forfeited unless you adhere to our rescheduling policy.

6. Rescheduling and Cancellation Policy

Clients are permitted to reschedule a session provided that a minimum of 48 hours’ advance notice is given. Cancellations made with less than 24 hours’ notice or failure to attend a scheduled session (no-show) may result in the forfeiture of that session.

If you have purchased a coaching package, please be aware that these packages may have an expiration date. For example, a 3-month coaching package may need to be utilized within 4 months from the date of purchase. Any unused sessions after the expiration date may be forfeited. These details will be outlined in your Coaching Agreement or service description.

7. Confidentiality and Privacy

We are committed to maintaining the confidentiality of the information you share during our sessions. Your personal information will be kept private and will not be disclosed to third parties unless: (a) required by law (e.g., court order); (b) we believe in good faith that disclosure is necessary to protect your safety or the safety of others; or (c) with your explicit consent.

Please also refer to our separate Privacy Policy, which details how we collect, use, and protect your personal information.

8. Disclaimers of Liability

Our coaching and educational services are designed to provide guidance and support for your personal and professional development. They are not intended to be, nor should they be interpreted as, a substitute for professional medical, legal, or financial advice. You acknowledge and agree that any decisions you make and actions you take as a result of our coaching or educational content are solely your responsibility.

We do not guarantee specific outcomes or results from our services, as your success is dependent on numerous factors, including your commitment, effort, and individual circumstances.

9. Communication Agreement

By engaging with Transform with Manuela, you consent to receive email communications and other messages relevant to the services you have purchased or expressed interest in. These communications may include appointment confirmations, service updates, and important information related to your engagement with us. You have the option to opt out of receiving marketing-related emails at any time by following the unsubscribe instructions provided in those emails.

10. Termination of Services

We reserve the right to suspend or terminate your access to our services or the Site at any time, with or without cause, if we reasonably believe that you have violated these Terms or the terms of any applicable Coaching Agreement.

11. Modifications to Services

We retain the right to modify, suspend, or discontinue any service, offering, or feature on the Site at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of our services.

12. Intellectual Property Rights

All content and materials available on this Site, including but not limited to logos, designs, videos, documents, blog posts, text, graphics, and visuals, are the exclusive property of Transform with Manuela or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are strictly prohibited from reproducing, distributing, modifying, creating derivative works of, publicly displaying, or otherwise using any of our intellectual property without our express prior written consent.

13. Disclaimer Regarding Downloadable Resources

From time to time, our Site may offer downloadable resources such as templates, worksheets, guides, or other digital content. You acknowledge and agree that any downloading and use of such resources is done at your own discretion and risk.

Transform with Manuela takes reasonable precautions to ensure that downloadable resources are safe and free from harmful software, such as viruses. However, we do not warrant or guarantee that any downloadable content from our Site will be free from viruses, worms, Trojan horses, or other malicious code that may damage your computer equipment, software, or data.

You are solely responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) on any device used to access and/or download content from our Site. By downloading resources from our Site, you assume all responsibility for any loss, damage, or disruption to your computer system, software, or data that may result.

14. Indemnification

You agree to indemnify, defend, and hold harmless Transform with Manuela and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your access to or use of the Site or our services, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Transform with Manuela shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses) arising out of or relating to your access to or use of the Site or our services, even if we have been advised of the possibility of such damages. You expressly agree that your use of the Site and our services is at your sole risk.

Our total liability to you for any and all claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to Transform with Manuela for the specific services in question.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles, unless otherwise specifically agreed upon in a signed Coaching Agreement. Any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

17. Amendments to These Terms

We reserve the right to modify or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting the revised Terms on the Site. Your continued access to or use of the Site or our services after the posting of any revised Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically for updates.
